1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Arcangel App, Inc., a Delaware corporation ("Arcangel," "we," "us," or "our"). They govern your access to and use of arcangel.ai, our web and mobile applications, our Shopify apps, our APIs, and any related tools, content and services (together, the "Services").

1.1 Acceptance. You accept these Terms by creating an account, clicking to accept them, making a purchase, or otherwise using the Services. If you do not agree, do not use the Services.

1.2 Using the Services for an organization. If you use the Services on behalf of a company, law firm or other organization, you represent that you have authority to bind it. In that case "you" includes that organization.

1.3 Additional terms. Some features have their own terms, such as attorney engagement letters, order-specific disclosures shown at checkout, domain registration agreements, or program terms. Those terms are part of this agreement. If they conflict with these Terms, the more specific terms control for that feature.

1.4 Privacy. Our Privacy Policy explains how we collect and use personal information. It is incorporated into these Terms.

1.5 Changes to these Terms. We may update these Terms from time to time. We will post the new version with a new "Last updated" date. For material changes, we will give reasonable advance notice by email or in the product. Changes apply going forward and do not affect orders already placed. If you keep using the Services after changes take effect, you accept them. If you do not agree, stop using the Services and close your account.

2. Arcangel is not a law firm

2.1 No legal advice. Arcangel is a technology company, not a law firm, and does not provide legal advice. The Services are self-help software tools. Information provided through the Services, including AI-generated content, search results, templates, articles and chat responses, is general information. It is not legal advice and is not a substitute for advice from a licensed attorney about your specific situation.

2.2 No attorney-client relationship with Arcangel. Using the Services does not create an attorney-client relationship between you and Arcangel or any Arcangel employee. Communications with Arcangel are not protected by attorney-client privilege, although we protect them as described in Section 8.

2.3 Independent attorneys. Some Services let you engage an independent attorney or registered patent agent licensed or registered to practice before the United States Patent and Trademark Office ("USPTO") (an "Independent Attorney"). Independent Attorneys are not employees or agents of Arcangel. They exercise their own independent professional judgment, and Arcangel does not direct, control or supervise their legal work.

2.4 Separate engagement. An attorney-client relationship forms only between you and the Independent Attorney, and only when you both accept that attorney's engagement terms. Those terms define the scope of the representation. Unless the engagement terms say otherwise, representation is limited to the specific task you purchase (for example, reviewing one trademark application) and does not include ongoing prosecution, office action responses, litigation, or advice on other matters.

2.5 Arcangel's role. When you engage an Independent Attorney, Arcangel provides the software, workflow, secure messaging, document storage and payment processing. You authorize Arcangel to share your information and materials with the Independent Attorney for that purpose. Arcangel is not responsible for an Independent Attorney's advice, acts or omissions. Complaints about an attorney's professional conduct may be directed to the attorney's state bar or the USPTO Office of Enrollment and Discipline.

2.6 When you should consult an attorney. Intellectual property rights can be lost through missed deadlines, public disclosure, incorrect filings or inaccurate statements. If your matter is complex, valuable, disputed, or involves foreign filings, litigation, licensing or infringement, we strongly recommend consulting a qualified attorney.

3. Eligibility and accounts

3.1 Eligibility. You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if you are barred from doing so under U.S. law, including if you are on a U.S. government sanctions or restricted-party list or located in a comprehensively sanctioned country.

3.2 Account registration. You must provide accurate, current and complete information when you register and keep it updated. This includes your legal name, email address, and, for filings, the correct applicant, owner and inventor information.

3.3 Account security. You sign in with an email code or Google. You are responsible for keeping access to that email and Google account confidential and for all activity under your Arcangel account. Enable multi-factor authentication where offered. Notify us immediately at company@arcangel.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account that results from your failure to secure that access.

3.4 Team and firm accounts. If you add users to an organization account, you are responsible for their use of the Services and for giving them only the access they need. Account administrators may view and manage content in the organization's workspace.

3.5 USPTO accounts are yours. Some filings require you to use your own USPTO.gov account, including identity verification. Your USPTO account is between you and the USPTO. Arcangel will never ask for your USPTO password and will never verify identity on your behalf.

4. The Services

4.1 Overview. The Services may include prior art and trademark clearance searching, novelty analysis, AI-assisted drafting of patent applications and trademark applications, copyright registration preparation, filing preparation and submission support, docketing reminders, domain search and purchase, brand protection tools, and optional review by Independent Attorneys. Features vary by plan and may change over time.

4.2 Patent tools. Our patent tools help you describe your invention, search prior art, and prepare drafts of provisional or nonprovisional applications, drawings and related forms. Drafts are starting points. They may be incomplete, may not adequately describe or enable your invention, and may not claim it as broadly or narrowly as you want. A provisional application does not by itself become a patent and expires 12 months after filing unless a nonprovisional application claiming its benefit is filed in time.

4.3 Trademark tools. Our trademark tools help you search for potentially conflicting marks, select goods and services descriptions, prepare specimens, and complete applications. Search results do not guarantee that your mark is available, registrable or free of infringement claims. The USPTO decides whether to register a mark, and third parties may oppose or challenge it.

4.4 Copyright tools. Our copyright tools help you prepare applications for registration with the U.S. Copyright Office. Copyright exists in original works from the moment of creation; registration is a separate step with its own requirements. Works generated by AI without sufficient human authorship may not be registrable.

4.5 Search limitations. Prior art and trademark searches rely on third-party databases, including USPTO, EPO, Lens and Crossref sources, which may be incomplete, delayed or inaccurate. No search can find every relevant reference or mark. Unpublished patent applications, common-law trademarks and non-indexed materials may not appear. A search result is not an opinion on patentability, registrability, validity, freedom to operate or infringement.

4.6 AI-generated content. Many features use artificial intelligence, including large language models provided by third parties. AI output can be inaccurate, incomplete, outdated or inappropriate for your situation, and it may sound confident when it is wrong. You are responsible for reviewing, verifying and approving all output before you rely on it or submit it to any government office. Similar inputs may produce similar outputs for other users; we do not guarantee that output is unique.

4.7 Filing submission. Where the Services submit or help you submit filings, we act only on your instructions and approvals. We are not responsible for delays or rejections caused by government systems, outages, fee changes, or information you supplied. Filings are generally submitted within the timeframe shown at checkout after you complete all required steps, including signatures and payment.

4.8 Reminders are a courtesy. Deadline reminders and docketing features are provided as a convenience. They may be incomplete or fail to send. You remain solely responsible for tracking and meeting every deadline, including response deadlines, maintenance fees, statements of use and renewals.

4.9 Changes and availability. We may add, change, suspend or discontinue features at any time. We aim to keep the Services available but do not guarantee uninterrupted access. We will give reasonable notice before discontinuing a paid feature you are actively using.

5. Your responsibilities for filings

5.1 Accurate information. You must provide complete and truthful information about your invention, mark, work, ownership and use. Filings contain statements made under penalty of law. False statements can invalidate your rights, lead to sanctions, and may be punishable under 18 U.S.C. 1001.

5.2 Inventorship and authorship. You are responsible for correctly identifying every inventor or author. Under current USPTO guidance, only natural persons can be named as inventors, and each named inventor must have significantly contributed to at least one claim. Using AI tools, including ours, to help develop or describe an invention does not make the AI an inventor. The same principles of human authorship apply to copyright.

5.3 Duty of candor. Patent applicants and others involved in prosecution have a duty to disclose information known to them that is material to patentability, including known prior art. Our search tools do not satisfy this duty for you.

5.4 Signatures and identity verification. You must personally sign every declaration, oath and electronic signature required for your filings, and personally complete any USPTO identity verification. You may not let Arcangel, an Independent Attorney, or anyone else sign your name. Arcangel will never sign on your behalf.

5.5 Ownership and authority. You represent that you own, or are authorized by the owner to file for, each invention, mark and work you submit, and that you have authority to sign for any company applicant. If an employer or another person may own the invention or mark, resolve ownership before filing.

5.6 Foreign-domiciled trademark applicants. USPTO rules require trademark applicants, registrants and parties whose domicile is outside the United States to be represented by an attorney licensed in the United States. If you are foreign-domiciled, you may file a trademark application through the Services only with Independent Attorney representation.

5.7 Public disclosure and deadlines. Publicly disclosing, selling or offering to sell an invention can start deadlines or destroy patent rights, especially outside the United States. You are responsible for timing your filings. Arcangel is not responsible for rights lost because of disclosures you made or deadlines you missed.

5.8 Government correspondence. Unless an Independent Attorney is your attorney of record, USPTO and Copyright Office correspondence will be sent to the correspondence address listed on your filing. You are responsible for monitoring that address and responding on time. Watch for scam solicitations that imitate USPTO notices; the USPTO does not send invoices from private companies.

5.9 Government fees and decisions. Government offices set their own fees, rules and processing times, which may change without notice. They alone decide whether to grant a patent or register a mark or work.

6. Fees, payment and Halo Credits

6.1 Pricing. Prices for the Services are shown on our pricing page and at checkout. Each order may include three separate components, itemized at checkout: (a) Arcangel's service fee; (b) government fees, such as USPTO or Copyright Office filing fees; and (c) Independent Attorney fees, where you purchase attorney review. Prices are in U.S. dollars and exclude applicable taxes unless stated.

6.2 Government fees. Government fees are set by the relevant office and passed through to it at cost. Arcangel does not mark them up. Your fee depends on factors you control and certify, such as entity status (large, small or micro entity) or the number of trademark classes. If you claim a reduced fee status, you must qualify for it; an incorrect claim can jeopardize your rights. If a government office charges additional fees, you are responsible for them.

6.3 Payment. You authorize us and our payment processor to charge your payment method for all amounts due. You must provide a valid payment method you are authorized to use. We do not store full card numbers; payments are handled by our third-party processor under its own terms.

6.4 Subscriptions. If you buy a subscription, it renews automatically at the end of each billing period at the then-current price until you cancel. We will clearly disclose the renewal terms before you subscribe and send reminders where required by law. You can cancel at any time in your account settings; cancellation takes effect at the end of the current billing period. We will notify you in advance of any price increase.

6.5 Refunds.

  • Before submission. You may cancel an order and receive a refund of Arcangel's service fee within 14 days of purchase if we have not yet submitted your filing and no Independent Attorney has begun work.
  • After submission. Once a filing is submitted to a government office, government fees are non-refundable because the office does not return them, and Arcangel's service fee is non-refundable.
  • Attorney fees. Refunds of Independent Attorney fees are governed by the attorney's engagement terms.
  • Outcomes. Fees are not refundable because an application is refused, opposed, rejected or abandoned, except as expressly stated in a written guarantee offered at checkout.
  • Our errors. If a filing is rejected because of an error by Arcangel's software or staff, we will correct and refile it at no additional service fee, or refund our service fee, at our option.

Nothing in this section limits any refund rights you have under applicable law.

6.6 Halo Credits. We may issue promotional or purchased credits ("Halo Credits") redeemable for eligible Services. Halo Credits have no cash value, are not redeemable for cash, are not transferable, cannot be sold, and are not a deposit or stored-value account. Halo Credits cannot be used to pay government fees unless the product says otherwise. Promotional credits may expire as stated when issued. Purchased credits will remain available for at least the period required by applicable law. We may void credits obtained through fraud, error or violation of these Terms. Unused credits are forfeited when your account is closed for cause.

6.7 Taxes. You are responsible for taxes associated with your purchases, other than taxes on Arcangel's net income. We will collect sales or similar taxes where required.

6.8 Late or failed payments and chargebacks. If a payment fails, we may pause work on your order, including filings, until payment is resolved. We are not responsible for deadlines missed because of a failed payment. If you file a chargeback for a charge you authorized, we may suspend your account while it is resolved.

7. Domains, Shopify apps and third-party services

7.1 Domain names. Arcangel offers domain name search and registration as a reseller of GoDaddy. When you buy a domain through Arcangel, the domain is registered through GoDaddy (or its affiliated registrar), and you also agree to GoDaddy's domain registration agreement, the applicable ICANN registrant rights and responsibilities, and registry policies, which are presented at checkout. After purchase, DNS, renewals, contact details and transfers are managed in GoDaddy's control panel, and GoDaddy's terms govern those services. Domain availability is not guaranteed until registration is confirmed. Registering a domain does not give you trademark rights, and you are responsible for ensuring your domain does not infringe anyone else's rights. Domain fees are generally non-refundable once the registration is completed.

7.2 Shopify apps. If you use an Arcangel app through the Shopify App Store, these Terms apply together with Shopify's terms. Billing for Shopify apps may be handled through Shopify. Brand protection features, including tools related to Amazon Brand Registry, help you prepare and organize information; Arcangel is not affiliated with, endorsed by, or acting on behalf of Shopify or Amazon, and those companies decide whether to grant enrollment or take action on a report.

7.3 Third-party services. The Services integrate with third-party services, including government systems, data providers, AI model providers, payment processors and marketplaces. Your use of those services may be subject to their terms. We do not control and are not responsible for third-party services, their availability, or their content.

7.4 Links. The Services may link to third-party websites. Links are provided for convenience and do not mean we endorse the linked site.

8. Your content, confidentiality and our platform

8.1 You own your content. As between you and Arcangel, you retain all rights in the information and materials you submit, including invention disclosures, drawings, marks, logos, specimens and works ("Your Content"), and in the drafts and other output generated for you from Your Content ("Output"). To the extent Arcangel has any rights in Output, we assign them to you. Arcangel claims no ownership of your inventions, marks or works.

8.2 License to operate the Services. You grant Arcangel a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content and Output only as needed to provide, secure and support the Services for you, including sharing it with Independent Attorneys you engage, government offices you file with, and service providers acting for us under confidentiality obligations. This license ends when Your Content is deleted from our systems, subject to Section 8.5.

8.3 Confidentiality of unfiled inventions. We treat unfiled invention disclosures and draft applications as confidential. We restrict access to personnel and service providers who need it to deliver the Services and who are bound by confidentiality obligations, and we use reasonable administrative, technical and physical safeguards. No system is perfectly secure, however, and we cannot guarantee that unauthorized access will never occur. We will notify you of a security incident affecting Your Content as required by law.

8.4 No training on your filings. We do not use Your Content or Output to train generative AI models, and we require our AI model providers not to use them for training. We may use aggregated and de-identified usage data, which cannot reasonably identify you or disclose your inventions or marks, to operate, analyze and improve the Services.

8.5 Public filings. Once filed, many government filings become public. Patent applications generally publish 18 months after the earliest priority date, and trademark applications and copyright registrations are public records. Arcangel is not responsible for information made public by a government office.

8.6 Export and deletion. You may download Your Content and Output while your account is active. When you close your account, we will delete or de-identify Your Content within a reasonable period, except where we must keep records to comply with law, resolve disputes, enforce agreements, or maintain backups that are overwritten in the ordinary course.

8.7 Arcangel's platform. The Services, including our software, models, databases, designs, text, graphics and trademarks (including ARCANGEL and HALO), are owned by Arcangel or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal purposes. All rights not expressly granted are reserved.

8.8 Feedback. If you send us suggestions or feedback about the Services, we may use them without restriction or compensation to you. Feedback does not include Your Content.

9. Acceptable use and copyright complaints

9.1 Prohibited conduct. You agree not to:

  • file or attempt to file applications you know are false, fraudulent, or made in bad faith, including applications for marks you do not use or intend to use, or to block or squat on another person's rights;
  • submit fabricated or digitally altered specimens, or misstate use dates, inventorship, ownership or entity status;
  • use the Services to infringe, misappropriate or violate anyone's intellectual property, privacy or other rights;
  • impersonate any person, including a USPTO official or an attorney, or misrepresent your affiliation;
  • use the Services to provide legal services to others without the required license or registration;
  • scrape, crawl, bulk-download or resell the Services, search results or data, except through features we provide for that purpose;
  • reverse engineer, decompile or attempt to extract source code, model weights or prompts, except where law expressly permits;
  • use the Services or Output to build a competing product;
  • probe, scan or test system vulnerabilities, bypass security or rate limits, or interfere with the Services;
  • upload malware or harmful code; or
  • use the Services in violation of any law, including export control and sanctions laws.

9.2 Enforcement. We may investigate suspected violations, refuse to process a filing, remove content, and suspend or terminate accounts. We may report suspected fraud or misconduct in government filings to the relevant office or authorities.

9.3 Copyright complaints. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to our designated agent: Srikar Srinivasan, Arcangel App, Inc., 9 Auer Court, East Brunswick, NJ 08816, company@arcangel.ai. Your notice must include the information required by 17 U.S.C. 512(c)(3). We may terminate the accounts of repeat infringers.

10. Disclaimers, limitation of liability and indemnity

10.1 No guarantee of results. Arcangel does not guarantee that any patent will issue, any mark or work will be registered, any right will be enforceable or valid, any search is complete, or that your use of an invention, mark or work will not infringe others' rights. Government offices, courts and third parties make those decisions.

10.2 Disclaimer of warranties. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

10.3 Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW:

  1. ARCANGEL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR INTELLECTUAL PROPERTY RIGHTS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
  2. ARCANGEL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE SERVICE FEES YOU PAID TO ARCANGEL (EXCLUDING GOVERNMENT FEES AND INDEPENDENT ATTORNEY FEES) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

These limits apply to all theories of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct in some jurisdictions. Arcangel is not liable for the acts or omissions of Independent Attorneys, government offices, or third-party services.

10.4 Indemnity. You will defend, indemnify and hold harmless Arcangel and its affiliates, officers, employees and agents from any third-party claim, and related losses, damages and reasonable legal fees, arising from (a) Your Content; (b) your filings, including any false statement in them; (c) your violation of these Terms or of law; or (d) your infringement of anyone's rights. We will notify you of the claim, and we may participate in the defense with counsel of our choosing at our own expense. You may not settle a claim that imposes obligations on Arcangel without our written consent.

10.5 Consumer rights. Some jurisdictions do not allow certain warranty exclusions or liability limits. In those jurisdictions, the exclusions and limits above apply only to the extent permitted by law.

11. Termination, disputes and general terms

11.1 Termination by you. You may stop using the Services and close your account at any time in your settings or by contacting support. Closing your account does not cancel filings already submitted or refund fees except as described in Section 6.5.

11.2 Suspension or termination by us. We may suspend or terminate your access if you violate these Terms, if required by law, if your use creates risk or legal exposure for Arcangel or others, or if we discontinue the Services. Where reasonable, we will give notice and an opportunity to download Your Content. If we terminate without cause, we will refund prepaid service fees for work not yet performed. Sections that by their nature should survive termination will survive, including Sections 2, 5, 6 (for amounts owed), 8, 10 and 11.

11.3 Informal resolution and binding arbitration. Before filing a claim, you and Arcangel agree to try to resolve the dispute informally for 60 days by sending written notice to the other (ours at company@arcangel.ai). If it is not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, including its supplementary rules for mass arbitrations. The arbitrator, not a court, decides questions of arbitrability. Judgment on the award may be entered in any court with jurisdiction. For consumer claims, Arcangel will pay filing and arbitrator fees beyond those you would pay to file in court.

11.4 Exceptions. Either party may bring an individual claim in small claims court. Either party may seek injunctive relief in court to protect its intellectual property or confidential information.

11.5 Class action and jury waiver. YOU AND ARCANGEL MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. YOU AND ARCANGEL WAIVE ANY RIGHT TO A JURY TRIAL. If 25 or more similar arbitration demands are filed by or with the help of the same counsel, they may be administered in batches under the provider's mass-arbitration procedures. If the class waiver is found unenforceable for a claim, that claim will proceed in court, and not in arbitration.

11.6 Opt-out. You may opt out of this arbitration agreement by emailing company@arcangel.ai within 30 days after you first accept these Terms, with your name, account email and a clear statement that you opt out of arbitration.

11.7 Governing law and venue. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. For any claim not subject to arbitration, you and Arcangel consent to the exclusive jurisdiction of the state and federal courts located in Middlesex County, New Jersey.

11.8 Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

11.9 General terms. These Terms, together with the documents referenced in them, are the entire agreement between you and Arcangel about the Services and supersede prior agreements on the same subject. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control, including government system outages. Notices to you may be sent to your account email or posted in the product. Headings are for convenience only, and "including" means "including without limitation."

11.10 Export controls. You will comply with U.S. export control and sanctions laws. Certain technical information in patent applications may require a foreign filing license from the USPTO before it is filed abroad or shared with foreign persons; you are responsible for obtaining one where required.
